Terms of Service

These Terms of Service ("Terms") govern the use of SoftCloud (the "Service"), an electronic invoicing (e-CF) and ERP platform operated by ESD Corporation ("SoftCloud", "we") in the Dominican Republic. By creating an account or using the Service, you accept these Terms. If you accept them on behalf of a company, you represent that you have the authority to bind it.

1. What the Service is

SoftCloud acts as a technology intermediary so your company can issue, sign, and send Electronic Tax Documents (e-CF) to the Dirección General de Impuestos Internos (DGII), in accordance with the Dominican Republic's Electronic Invoicing Standard, and so it can manage the ERP operations (invoicing, finance, inventory, sales, purchases) associated with that activity.

SoftCloud does not replace your tax obligations or exempt you from liability before DGII or another authority — it is your responsibility that the information you submit to the Service (RNC, products, amounts, customer data) is correct and up to date.

2. Your account

• You are responsible for keeping your password, your API keys, and your digital certificate confidential.
• You must notify us immediately of any unauthorized use of your account or credentials.
• The account owner (OWNER role) is responsible for the actions of the team members they invite.
• The tax information you configure (RNC, legal business name, issuer address) must correspond to a real, current company.

3. Plans, payments, and suspension

The Service is billed according to the chosen Electronic Invoicing plan (a monthly fee plus a charge per document that exceeds the included quota) and the ERP modules you enable. A failed payment goes through automatic retries; if all of them fail, the account is marked as suspended but keeps access during a 30-day grace period before being fully blocked. You may cancel your account at any time — cancellation does not generate a refund for periods already billed.

4. Acceptable use

You may not use the Service to:

• Issue tax documents that are false, deliberately duplicated, or do not correspond to a real transaction.
• Attempt to access another account's data, bypass usage limits, or interfere with the Service's infrastructure.
• Use another company's API keys or certificates without their express authorization.
• Resell the Service to third parties without a written agreement with SoftCloud.

5. Availability and limitation of liability

We make a reasonable effort to keep the Service available, but we do not guarantee uninterrupted availability — among other things because issuing e-CFs depends on DGII's webservice being available, which is outside our control. To the extent permitted by Dominican law, SoftCloud is not liable for indirect damages, loss of revenue, or fines arising from use of the Service, except in cases of gross negligence or willful misconduct on our part.

6. Ownership of your data

The data you enter into the Service (invoices, contacts, inventory, accounting information) is yours. SoftCloud processes it solely to provide you the Service — see our Privacy Policy for details on what we collect and how we use it.

7. Termination

We may suspend or close your account if you breach these Terms, if there is evidence of fraudulent use of the Service, or due to prolonged non-payment. When your account is closed, we retain your electronic tax documents for the period required by Dominican tax law, and the rest of your data as described in the Privacy Policy.

8. Changes to these Terms

We may update these Terms — if the change is significant, we'll notify you by email or within the Service before it takes effect. Continuing to use the Service after a change means you accept it.

9. Governing law

These Terms are governed by the laws of the Dominican Republic. Any dispute is subject to the competent courts of Santo Domingo, unless the law provides otherwise.
